1. Acceptance of Terms

These Terms of Service ("Terms") are a legal agreement between you and QuantumZero, Inc. governing your access to and use of our website, platform, and related services. By accessing or using the Site or Services, you agree to be bound by these Terms. If you do not agree, you may not access or use the Services.

2. Description of Services

QuantumZero provides foundational AI infrastructure designed to enable regulated enterprises to safely increase their use of AI. Our core Services include:

  • Photon HX Workbench: An enterprise AI workbench for human command, control, and coordination of AI agents.
  • Runtime AI Governance: Programmatic enforcement of policy at agentic speeds via Observer Agents and execution interception.
  • Data Foundations: Distributed data governance using ATOMIC ENGINE encryption and Searchable Encryption in Data (SEID).

3. Accounts & Responsibilities

To access certain features of the Services, you may be required to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You agree not to use the Services for any unlawful purpose or in any way that interrupts, damages, or impairs the service. Any attempt to bypass or subvert Runtime AI Governance controls will result in immediate suspension of access.

4. Enterprise Agreements Supersede

Commercial Deployment Notice

If you are accessing the Services on behalf of an organization that has entered into a Master Subscription Agreement (MSA), Enterprise License Agreement (ELA), or similar commercial contract with QuantumZero (an "Enterprise Agreement"), the terms of that Enterprise Agreement shall govern your use of the Services and supersede these general Terms in the event of any conflict.

5. Intellectual Property

The Services and their original content, features, and functionality, including but not limited to the ATOMIC ENGINE, SEID, PRISM, and BEAMS architectures, are and will remain the exclusive property of QuantumZero and its licensors. The Services are protected by copyright, trademark, patent, and other laws.

Nothing in these Terms grants you a right to use the QuantumZero name, trademarks, logos, or any other proprietary assets without our prior written consent.

6. Disclaimers & Limitation of Liability

The Services are provided on an "AS IS" and "AS AVAILABLE" basis. QuantumZero makes no warranties, expressed or implied, regarding the availability, accuracy, or reliability of the Services outside of specific Enterprise Service Level Agreements (SLAs).

IN NO EVENT SHALL QUANTUMZERO, ITS DIRECTORS, EMPLOYEES, OR PARTNERS, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES.

7. Governing Law

These Terms shall be governed and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any dispute arising from these Terms shall be resolved exclusively in the state and federal courts located within Delaware.
